These Terms of Service ("Terms") govern your access to and use of the HVACRelay website, products, and services (collectively, the "Service"). The Service is operated by Hoshi Brands, based in Tallinn, Estonia ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
HVACRelay provides AI voice receptionist and workflow automation tools designed for HVAC businesses. We may add, change, or remove features at any time. Some features may depend on third-party integrations (for example telephony, CRM, dispatch, and messaging providers) that are governed by their own terms.
You must be at least 18 years old and authorized to enter into a binding contract on behalf of your business. You are responsible for the accuracy of any information you provide and for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account.
The Service is offered on monthly subscription tiers. The applicable monthly fee, included call minutes, and any other plan limits are shown at checkout. Setup fees are quoted separately and depend on the integrations and configuration your business requires.
Subscription fees are billed in advance through our payment processor (Stripe) and renew automatically each billing period until cancelled. Setup fees are billed as quoted. All fees are non-refundable except where required by law.
You agree not to use the Service to: (a) violate any law or third-party right; (b) send spam, unsolicited communications, or content that is unlawful, deceptive, harassing, or harmful; (c) place or facilitate calls that violate telemarketing, telecommunications, or consumer protection laws; (d) reverse engineer, scrape, or attempt to gain unauthorized access to the Service; or (e) interfere with the integrity, performance, or security of the Service.
You are responsible for any data, prompts, scripts, recordings, or other content provided to or generated through the Service ("Customer Data"), including ensuring that you have the necessary rights and consents (including any required call-recording or call-monitoring consents) to make that data available to us. We process Customer Data on your behalf as described in our Privacy Policy.
The Service may integrate with or rely on third-party services. We are not responsible for those third-party services, and your use of them is governed by their own terms and privacy policies.
The Service, including software, models, prompts, designs, and trademarks, is owned by Hoshi Brands or its licensors. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for the purpose of operating your business while your subscription is active. You retain ownership of your Customer Data.
The Service uses AI to generate voice and text responses. AI output may be inaccurate or incomplete. You are responsible for reviewing and verifying any output before relying on it for operational, dispatch, safety, or contractual decisions.
You may cancel your subscription at any time effective at the end of the current billing period. We may suspend or terminate your access if you breach these Terms or if continued provision of the Service is unlawful or unduly risky. Upon termination, your right to use the Service ends and we may delete Customer Data after a reasonable retention window.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
To the maximum extent permitted by law, Hoshi Brands will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities. Our total aggregate liability for any claim arising from or relating to the Service will not exceed the amounts paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
We may update these Terms from time to time. If we make material changes, we will notify you by a reasonable means (for example, by email or by posting a notice on the Service). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of laws principles. Any disputes will be resolved in the competent courts of Estonia, unless local mandatory law requires otherwise.
